Please read these Healthcare Provider Terms of Membership (“Agreement” or “Terms”) carefully before registering as a Healthcare Provider on the WEBSITE.
By clicking the “SUBMIT” button or otherwise accepting these Terms, you acknowledge, represent, and warrant that:
- You are a licensed medical provider authorized to enter into this Agreement;
- You have read and understood these Terms;
- You agree to be legally bound by these Terms; and
- All information submitted to AccidentDoctor.org, whether through online forms or otherwise, is true, accurate, and complete.
Pursuant to these Terms, the Advertiser submits business listings and/or website links for inclusion on the AccidentDoctor.org website and affiliated websites, including Personal-Injury-Doctor.com, where applicable.
As a Healthcare Provider, you are responsible for complying with all ethical and professional rules, regulations, and advertising requirements established by your state licensing authority.
Except as specifically advised by you to a patient, no doctor-patient relationship or privilege shall exist with respect to any communication made through the WEBSITE or its Memberships.
All fees, including membership, advertising, promotional, and placement fees, are disclosed during the registration or order process and are subject to change at our sole discretion.
By entering into this Agreement, you acknowledge that fees may include recurring charges and you accept responsibility for all recurring payments until cancellation.
By registering or subscribing to a Membership, you also consent to receive promotional communications and informational content from us.
Because our business, policies, and Membership offerings may change periodically, it is your responsibility to review this Agreement regularly. We reserve the right to revise these Terms at any time without prior notice. Continued use of the WEBSITE or Memberships constitutes acceptance of any revised Terms.
Use of the WEBSITE and Memberships is void where prohibited by applicable law.
1. DESCRIPTION OF THE WEBSITE
The WEBSITE provides Healthcare Providers (“Provider,” “Doctor,” “you,” or “your”) with tools and resources designed to enhance patient access, communication, scheduling, and retention through online and AI-assisted capabilities.
Services and features offered through the WEBSITE may include, but are not limited to: Advertising and directory listings, Patient communication tools, AI-assisted call handling, Appointment scheduling and reminders, Call routing and message collection, SMS and email communications, Landing pages and promotional placement, Administrative support tools. All such services and features are collectively referred to as the “Memberships.”
ADG LLC reserves the right to add, modify, suspend, or discontinue any part of the WEBSITE or Memberships at any time without liability or prior notice.
2. ELIGIBILITY
Healthcare Providers must: Be at least eighteen (18) years old; Be currently licensed in a U.S. state or territory; and Be legally authorized to enter into this Agreement. This WEBSITE is intended solely for Healthcare Providers licensed in the United States and its territories.
3. PROFESSIONAL RESPONSIBILITY
Healthcare Providers are solely responsible for ensuring compliance with all applicable: Professional standards, Ethical obligations, State and federal laws, Licensing regulations, Advertising rules. ADG LLC assumes no responsibility or liability for your use of the WEBSITE or Memberships in violation of any law or regulation.
4. DOCTOR-PATIENT COMMUNICATIONS
Except where expressly established by the Provider, no doctor-patient relationship or privilege is created through use of the WEBSITE or Memberships.
Providers are solely responsible for: Determining whether communications comply with applicable laws; Advising patients regarding the status of doctor-patient privilege; and Ensuring HIPAA and regulatory compliance. For technical support, contact: SUPPORT@ACCIDENTDOCTORAI.COM
5. AI-ASSISTED SERVICES
The WEBSITE may provide AI-assisted administrative services (“AI Services”), including: Answering inbound calls, Patient intake and message collection, Appointment scheduling, rescheduling, and cancellations, Call routing and basic inquiries, SMS/email confirmations and reminders.
The AI Services are administrative only and do not provide: Medical advice, Clinical judgment, Diagnosis, Treatment recommendations. All medical responsibility remains solely with the Healthcare Provider.
6. EMERGENCY DISCLAIMER
The AI Services and Memberships are not intended for emergencies.
If a caller reports serious symptoms such as: Chest pain, Difficulty breathing, Loss of consciousness, Severe bleeding, Stroke symptoms, the system may instruct the caller to: Call 911; or Proceed to the nearest emergency room. ADG LLC is not responsible for outcomes related to emergency situations.
7. MEMBERSHIPS
The WEBSITE offers both free and paid Memberships (“Premium Memberships”). Additional Premium Memberships and features may be introduced periodically and may require additional fees.
Premium Memberships may include: Enhanced advertising placement, Landing pages, AI-assisted administrative support, Expanded communication tools, Scheduling integrations, Premium promotional features.
Premium Memberships may require a minimum one-year term unless otherwise stated during registration. Payment options may include: Annual billing, Quarterly billing, Monthly billing, Usage-based billing. Regardless of the payment option selected, Providers remain responsible for the full minimum term commitment where applicable.
8. FEES & BILLING
8.1 Usage-Based Charges: Certain services may include additional usage-based fees, including: AI voice interactions, SMS/email communications, Call recording and transcription, Third-party integrations, Premium features.
8.2 Billing: Charges may be billed: Monthly, Periodically, Based on actual usage, According to subscription terms. All invoices are deemed accurate unless disputed in writing within ten (10) days of the invoice date.
8.3 Pricing Changes: Pricing may change due to infrastructure, vendor, or third-party service costs. Reasonable notice will be provided where applicable.
9. PAYMENT TERMS
Providers agree to maintain a valid payment method on file. Failure to make payment may result in: Service interruption, Membership suspension, Cancellation of services.
In the event of: Chargebacks, Payment disputes, Reversals, Failed payments, ADG LLC reserves the right to pursue all lawful remedies, including cancellation of Memberships and assessment of reasonable processing fees.
10. CANCELLATION & TERMINATION
Unless otherwise specified in a separate written agreement, all Memberships include a minimum contractual term of one (1) year. However, Providers may request cancellation after the initial ninety (90) days of active service by providing at least thirty (30) days’ written notice to ADG LLC.
For Memberships that include a minimum contract term, the Provider expressly acknowledges and agrees that the Membership Agreement becomes binding and enforceable upon enrollment and activation of services. By purchasing or activating services, the Provider authorizes ADG LLC to immediately begin onboarding, programming, setup, AI configuration, marketing placement, automation deployment, directory positioning, and account activation services.
Accordingly:
- All payments, deposits, setup fees, programming fees, monthly membership fees, prepaid service periods, and renewal charges are final and non-refundable;
- The one-time programming/setup fee is non-refundable once onboarding or configuration work has commenced;
- Cancellation requests submitted before the expiration of the initial ninety (90) day period shall not relieve the Provider of payment obligations for that period;
- After the initial ninety (90) days, cancellation requires thirty (30) days’ written notice and shall become effective at the end of the applicable notice period;
- Early cancellation, voluntary termination, non-use of services, business closure, dissatisfaction, change in business circumstances, or failure to utilize the Membership does not entitle the Provider to refunds, credits, or reimbursement of previously billed amounts;
- Chargebacks, payment reversals, disputes, or unauthorized cancellations are strictly prohibited for services already rendered, active billing periods, completed setup work, digital services delivered, or contracted Membership obligations.
Any chargeback or payment dispute initiated in violation of these Terms shall constitute a material breach of the Agreement, and ADG LLC reserves the right to immediately suspend services and pursue recovery of all outstanding balances, collection costs, administrative fees, legal fees, and any other damages permitted by law.
ADG LLC reserves the absolute right, at its sole discretion, to suspend, restrict, deactivate, or terminate any Account, Membership, listing, AI service, automation feature, or platform access at any time for reasons including, but not limited to: Violation of these Terms and Conditions; Misuse, abuse, fraudulent activity, or unauthorized use of services; Harassment, unethical conduct, or conduct harmful to the platform or its users; Failure to make timely payments or maintain a valid payment method; Submission of false, misleading, incomplete, or inaccurate registration or account information; Any activity deemed detrimental to ADG LLC, its reputation, systems, partners, or users.
Suspension or termination of services shall not waive, reduce, or eliminate any outstanding financial obligations owed by the Provider. The Provider remains fully responsible for all accrued charges, unpaid balances, contracted fees, collections costs, and any remaining amounts due under the applicable Membership term through the effective termination date and/or remainder of the contractual commitment.
11. REGISTRATION & ACCOUNT RESPONSIBILITY
To access Premium Memberships, Providers must create an Account. You agree to provide accurate and complete Registration Data, including: Name, Business information, Contact details, Payment information, Licensing information. You are solely responsible for maintaining the confidentiality of your Account credentials. ADG LLC reserves the right to suspend or terminate Accounts containing inaccurate or deceptive information.
12. EDITORIAL STANDARDS & LISTINGS
Provider listings may include: Business name, Address, Phone number, Website URL, Specialty information. Listings are written and maintained by Accident Doctor Group. ADG LLC reserves the right to edit, refuse, or remove listings at its discretion.
13. LANDING PAGES
Premium Members may request custom landing pages for specific cities or markets. Providers must submit: A minimum 300-word original content document describing their practice and services. Content should be emailed to: info@accidentdoctorai.com. Submitted content becomes the property of Accident Doctor Group. ADG LLC reserves the right to reject content that violates SEO standards, including: Duplicate content, Keyword stuffing, Repetitive content.
14. THIRD-PARTY SERVICES
Memberships may rely on third-party providers, including: Telecommunications providers, SMS/email platforms, Software integrations, Scheduling systems. ADG LLC is not responsible for outages, delays, failures, or inaccuracies caused by third-party systems.
15. SERVICE AVAILABILITY
ADG LLC does not guarantee uninterrupted or error-free service. Performance may vary due to: Internet connectivity, Third-party systems, System demand, Technical issues.
16. DATA & HIPAA COMPLIANCE
Healthcare Providers are responsible for maintaining HIPAA compliance and all required legal obligations. Where applicable, ADG LLC may operate as a Business Associate under a separate Business Associate Agreement (“BAA”). ADG LLC processes information solely to provide services and does not claim ownership of patient data.
17. LICENSE GRANT
Advertiser grants Accident Doctor Group a worldwide, non-exclusive, royalty-free license to: Reproduce, Display, Publish, Distribute, Store, Promote the Advertiser’s submitted content, trademarks, logos, and listings solely for purposes related to the Memberships and WEBSITE operations.
18. EMAIL COMMUNICATIONS
Free listing members may receive informational or promotional emails no more than once per week. Blocking or reporting communications from Accident Doctor Group as spam may result in removal of the Provider’s listing without notice.
19. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ADG LLC and its affiliates, officers, employees, and partners from any claims, damages, liabilities, costs, or expenses arising from: Your use of the WEBSITE or Memberships; Your medical services or patient care; Violations of law or regulation; Breach of this Agreement.
20. WARRANTIES DISCLAIMER
THE WEBSITE AND MEMBERSHIPS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ADG LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT. ADG LLC does not guarantee: Accuracy of patient information, Appointment availability, Insurance verification, Error-free operation. Use of the WEBSITE and Memberships is at your sole risk.
21. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW: ADG LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES; ADG LLC SHALL NOT BE LIABLE FOR MEDICAL OUTCOMES OR CLINICAL DECISIONS; TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID DURING THE PRIOR BILLING PERIOD.
22. DISPUTE RESOLUTION
If a dispute arises, both parties agree to first attempt resolution through informal negotiation. Please contact: SUPPORT@ACCIDENTDOCTORAI.COM. Alternative dispute resolution, mediation, or arbitration may be considered before litigation.
23. GOVERNING LAW & VENUE
This Agreement shall be governed by the laws of the State of Georgia. Exclusive venue for disputes shall be located in: State courts of Cobb County, Georgia; or Federal courts located in Georgia.
24. MODIFICATIONS
ADG LLC reserves the right to modify these Terms at any time. Continued use of the WEBSITE or Memberships after changes are posted constitutes acceptance of the revised Terms.
25. ENTIRE AGREEMENT
This Agreement, together with any applicable: Business Associate Agreement (BAA), Pricing schedules, Membership terms, Policies and notices constitutes the complete agreement between the parties and supersedes all prior agreements or understandings.
26. LEGAL WARNING
Any attempt to damage, interfere with, disrupt, or gain unauthorized access to the WEBSITE or Memberships may violate civil and criminal laws. ADG LLC reserves the right to pursue all available legal remedies.
